  1. APPLICABILITY OF TERMS AND BASIS OF CONTRACT
    1. These terms and conditions (“Terms”) govern your use of the App. By installing the App, you (“User” or “you”) agree to be bound by these Terms.
    2. These Terms, together with the Service Provider Terms, also apply to the supply of Services. Please review these Terms and the applicable Service Provider Terms carefully before you accept the applicability thereof by installing the App or requesting Services.
    3. For Users based in the United States, the Country-Specific Terms attached hereto are incorporated into and form part of these Terms upon acceptance by you of these Terms.
    4. Important warnings:
      1. Wheely is not a licensed taxi or private vehicle hire operator, and does not accept Booking Requests, or provide the Services. When you use the App, Wheely provides you the option to purchase Services from Service Providers who have drivers available to perform the Services. Each Booking Request will be received, assessed and confirmed by the Service Provider.
      2. When the Service Provider confirms your request, you are entering into a contract (known as the TSA) with that Service Provider (and not Wheely) for the provision of the Services.
      3. The Service Provider is solely responsible for delivering the Services and any claims or disputes arising out of the Services.
  2. DEFINITIONS

    “App” means the Wheely mobile application software developed and offered by Wheely to enable User to book Services in accordance with these Terms.

    “Applicable Laws” means all laws, statutes, regulations and codes from time to time in force and applicable as between Wheely and the User.

    “Booking Request” means a Transport Booking Request in the case of Transport Services and a Concierge Booking Request in the case of Concierge Service.

    “Cancellation Fees” has the meaning given in clause 7.4.

    “Charges” means the fees and charges for the provision of the Services, calculated in accordance with Wheely’s set rates which are shown under the ‘Fares’ section of the relevant class category listed at: https://wheely.com/en/cities-and-classes.

    “Concierge Booking Request” means the User’s request via the App for a Service Provider to perform the Concierge Service, setting out details of the applicable Goods, Recipient, Pick-Up Time, desired Drop-Off Time, Drop-Off Location and other information required by the Service Provider relating to the requested Concierge Service.

    “Concierge Service” means the purchase or collection of Goods from a Trader, or the collection of Goods from a User, by the Service Provider on behalf of the User and the subsequent delivery of such Goods to the Recipient in accordance with a Concierge Booking Request. Information on the Concierge Service, including the applicable charges, is available at: https://wheely.com/en/classes/concierge.

    “Conditions of Use” has the meaning given in clause 4.6.

    “Delivery Drop-Off Time” means in respect of the Concierge Service, the time estimated to deliver the Goods, as shown in the App.

    “Disbursements” has the meaning given in clause 7.2.

    “Drop-Off Location” means the location specified by the User in the Booking Request: a) where the Service Provider is required to drop off a Passenger in the case of Transport Services, or b) where the Service Provider is required to deliver Goods in respect of the Concierge Service.

    “Drop-Off Time” means the time specified by User, and confirmed by the Service Provider, to drop off (a) the Passenger (in respect of the Transport Services), or b) Goods (in respect of the Concierge Service).

    “Excluded Goods” has the meaning given in clause 10.

    “Goods” means the products collected or purchased and delivered by a Service Provider as part of the Concierge Service.

    “Group Company” means any company which is a holding company or subsidiary of Wheely, or any other subsidiary of a holding company of Wheely.

    “Passenger” means the natural person (who may be the User or another individual) who is the subject of the Transport Services.

    “Pick-Up Location” means the location specified by User in the Booking Request where the Service Provider is required to (a) pick up a Passenger (in the case of the Transport Services), or b) pick up or purchase Goods (in the case of the Concierge Service).

    “Pick-Up Time” means the time specified by User, and confirmed by the Service Provider, to collect (a) the Passenger (in respect of the Transport Services), or b) Goods (in respect of the Concierge Service).

    “Recipient” means, in respect of the Concierge Service, the person (who may be the User or another individual) to whom Goods are to be delivered.

    “Services” means the Transport Services and/or the Concierge Service (as applicable).

    “Service Provider” means a third party individual or company that uses the App to promote and sell Services to Users.

    “Service Provider Terms” means any additional terms and conditions which apply as between the Service Provider and the User and which vary by reference to the location in which the Service is performed. The Service Provider Terms are available at: https://wheely.com/en/legal and incorporated in the TSA.

    “Trader” means in respect of the Concierge Service, the entity from whom the Service Provider is required to collect or purchase Goods.

    “Transaction Fee” has the meaning given in clause 7.2.

    “Transport Booking Request” means the User’s request via the App for a Service Provider to perform the Transport Service, setting out details of the desired Pick-Up Time, Pick-Up Location, Drop-Off Location and any other information required by the Service Provider relating to the requested Transport Service.

    “Transport Service” means the private hire transportation of a Passenger from one location to another by a Service Provider in accordance with a Transport Booking Request, these Terms, any applicable Service Provider Terms and Applicable Laws.

    “TSA” means the transportation services agreement between you and the Service Provider, that is issued to you on acceptance of a Booking Request by the Service Provider. It identifies the Service Provider providing the journey and incorporates any applicable Service Provider Terms.

    “Wheely” means: (i) in the case of Users in the United States, Wheely USA Inc., a corporation established in Nevada and registered in New York; and (ii), in the case of all other Users, Wheely Technologies Ltd., a private limited company incorporated and registered in England and Wales with company number 07994380.

  3. USE OF THE APP
    1. Before being able to place a Booking Request via the App, User must create an account using the App. Personal accounts are intended for private, non-commercial use only.
    2. In order to create a personal account, User shares his/her first name, last name, email address, telephone number and credit card data. User guarantees that all data provided are true, correct and up to date. It is not possible to link a credit card to a personal account which is not registered in User’s name.
    3. Wheely may amend or withdraw the App, or charge for the App at any time and for any reason as long as Wheely provides User with reasonable notice of its intention to do so.
    4. User may stop using the App at any time. This will not, however, affect any obligation User has to pay any sums owed to Wheely.
  4. CONDITIONS OF USE
    1. In addition to the other requirements within these terms, this clause describes specific rules that apply to your use of the App.
    2. When using the App you must not, and must not allow third parties to:
      1. resell any Services;
      2. make or distribute copies of the App;
      3. attempt to rent, sub-license, loan, merge, reproduce, alter, modify, reverse engineer, disassemble, decompile, transfer, exchange, translate, hack, distribute, harm or misuse the App;
      4. create derivative works of the App of any kind whatsoever;
      5. circumvent, disable or otherwise interfere with any security related features of the App;
      6. give any false or misleading information, impersonate any person or permit any other person to use the App under your name or on your behalf unless such person is authorised by you;
      7. use the App if we have suspended or banned you from using it;
      8. advocate, promote or engage in any illegal or unlawful conduct, including any criminal activity, fraud or money laundering, or conduct that causes damage or injury to any person or property;
      9. misuse the App by knowingly introducing viruses, Trojans, worms, logic bombs or other material which would harm the App or any user of the App’s own equipment;
      10. collect any data from the App other than in accordance with these Terms;
      11. use any automated system, including without limitation “robots”, “spiders” or “offline readers” to access the App in a manner that sends more request messages to the App than a human can reasonably produce in the same period of time;
      12. submit or contribute any information or commentary about another person without that person’s permission; or
      13. threaten, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety or be likely to harass, upset, embarrass, alarm or annoy any other person.
    3. User acknowledges that the terms of agreement with User’s respective mobile network provider (“Mobile Provider”) will continue to apply when using the App. As a result, User may be charged by the Mobile Provider for access to network connection services for the duration of the connection while accessing the App or any such third party charges as may arise. User accepts responsibility for any such charges that arise.
    4. If User is not the bill payer for the mobile telephone or handheld device being used to access the App, User warrants that it has permission from the bill payer to use the App and pay for the Services.
    5. User shall ensure that at all times it complies with and shall procure that each Passenger, Trader (to the extent practicable) or Recipient complies with the conditions of use in this clause 4 (the “Conditions of Use”). Any failure to comply with the Conditions of Use constitutes a serious breach of these Terms and may result in Wheely taking all or any of the following actions:
      1. immediate suspension of the User’s right to access the App and/or Services;
      2. issuing of a warning to User;
      3. legal action against User, including proceedings for reimbursement of all costs (including, but not limited to, reasonable administrative and legal costs) resulting from the breach; and/or
      4. disclosure of such information to law enforcement authorities as Wheely reasonably feels is necessary.
    6. Further, to the extent that a Service Provider considers that a User, Passenger or Recipient is not in compliance with these Terms, it shall be entitled to cancel the provision of the relevant Services and the provisions of clause 7.3 shall apply.
  5. BOOKING SERVICES
    1. User may request Services by submitting a Booking Request via the App.
    2. By submitting a Booking Request, User is offering to purchase Services subject to these Terms and any applicable Service Provider Terms. This does not mean the Booking Request has been accepted. A contract for the provision of a Service will only be formed once a Booking Request has been accepted by the Service Provider.
    3. Once a Service Provider accepts a Booking Request, you will be provided with the TSA, which identifies the Service Provider. If you are in London, United Kingdom, the Service Provider may be our affiliate, Wheely London Ltd.
    4. Once a contract between the User and the relevant Service Provider has been formed pursuant to clause 5.2, it may be cancelled by User at any time without reason by notifying the Service Provider directly or using the App, subject to payment of a Cancellation Fee and any applicable Charges and/or Disbursements (and applicable Transaction Fees) in accordance with clause 7.
    5. The services provided by Service Providers through the App include: (i) the acceptance of Booking Requests and the provision of a Service in accordance with the Booking Request; (ii) provision of the booking confirmation to a User before the journey starts; (iii) keeping a record of each accepted Booking Request and remote monitoring of the performance of the Services; (iv) receipt of and dealing with feedback, questions and complaints relating to the Services, as well managing any lost property queries relating to the Services, and (v) any other obligation specifically required by Applicable Laws.
  6. TERMS SPECIFIC TO THE CONCIERGE SERVICE
      Appointment of Service Provider as Agent
    1. In relation to the purchase of Goods only, User appoints the Service Provider to act as agent on behalf of the User and/or Recipient in the performance of the Concierge Service.
    2. When purchasing or collecting Goods from a Trader, the Service Provider shall use reasonable efforts to disclose to the Trader that it is acting as agent on behalf of the User in relation to the transaction. The User shall, where requested by the Service Provider, provide such cooperation and assistance to the Service Provider in respect of any verification process the Trader may require regarding the Service Provider’s authority to act on behalf of the User and/or Recipient. This may include requiring the User to notify the Trader in advance of the Service Provider’s authority to act on the User or Recipient’s behalf.
    3. To the extent the Concierge Service requires the Service Provider to enter into a contract with a Trader for the purchase of Goods or for services in relation to Goods owned by the User and/or Recipient, the contract for the purchase shall be made between the Trader and the User and/or Recipient and the User and/or Recipient hereby authorises the Service Provider to enter into such contracts on the User and/or Recipient’s behalf. Where a Trader is not prepared to accept the Service Provider’s authority, the Service Provider may cancel the Booking Request and charge a Cancellation Fee (and recover any Disbursements incurred (e.g. parking tickets) and applicable Transaction Fee) in accordance with clause 7). The Service Provider shall have no liability to User (or Recipient) to the extent that a Trader is not prepared to accept the Service Provider’s authority to act on the User (or Recipient’s) behalf.
    4. Concierge Booking request
    5. The Service Provider shall carry out the Concierge Service in accordance with the instructions set out in the Booking Request. It is the sole responsibility of the User to ensure that all information relevant to the request is provided at the time of submitting the Booking Request. In particular, the User must provide all relevant information in relation to any Goods to be purchased, including the product type, brand, size, colour, quantity and any other product characteristics. If any details are unclear or missing, the Service Provider may, but shall have no obligation to, contact the User to clarify any details and/or exercise his/her reasonable judgement in respect of the User’s requirements. Where a Booking Request is unclear and/or missing detail and the Service Provider attempts to contact User and/or Recipient for clarification and does not obtain a satisfactory response after two attempts, the Service Provider may cancel the Booking Request and charge a Cancellation Fee (and request reimbursement of any Disbursements incurred) in accordance with clause 7. Where the Service Provider collects or purchases incorrect Goods due to a request being unclear or missing detail, the Service Provider shall have no liability to User and shall be entitled to charge all Charges and Disbursements incurred (and applicable Transaction Fees) provided it can demonstrate that it exercised reasonable judgement when deciding which Goods to collect and/or purchase on behalf of User and/or Recipient.
    6. No Concierge Booking Request shall be accepted if it requires the Service Provider to collect and/or purchase Excluded Goods. If a Booking Request includes any Excluded Goods, the entire Booking Request shall be rejected by the Service Provider.
    7. Collecting and/or purchasing Goods
    8. The Service Provider shall collect the Goods from the Pick-Up Location. Where the Booking Request requires the Service Provider to purchase Goods, the Service Provider shall have no obligation to purchase Goods from a particular Trader unless specified otherwise in the Booking Request. Where the Booking Request requires the Service Provider to collect and/or purchase Goods from a particular Trader and on arrival at the Pick-Up location, the Trader is not open for business, the Service Provider may cancel the Booking Request and charge a Cancellation Fee (and request reimbursement of any Disbursements incurred and applicable Transaction Fee) in accordance with clause 7.
    9. To the extent the Service Provider is required to pick up Goods from a particular Pick-Up Location which, in the Service Provider’s reasonable opinion, causes a risk to the health or safety of the Service Provider, the Service Provider may cancel the Booking Request and charge a Cancellation Fee in accordance with clause 7.
    10. If Goods are to be collected from the User, the User must be available at the Pick-Up Location at the Pick-Up Time to allow collection of the Goods by the Service Provider. If the User is not available at the Pick-Up location within 20 minutes of the Service Provider’s arrival, Service Provider may cancel the Booking Request and charge a Cancellation Fee in accordance with clause 7 provided that Service Provider does not arrive before the estimated Pick-Up Time. If the Service Provider does not arrive at the Pick-Up Location within 5 minutes of the estimated Pick-Up Time, User may cancel the Booking Request without liability.
    11. Delivering Goods
    12. Service Provider shall deliver the Goods to the Drop-Off Location. Prior to delivery, the Service Provider and the User may agree an alternative delivery location. In this case, the total price will be recalculated in accordance with the set rate for the Concierge Service applicable to the new Drop-Off Location.
    13. The Recipient must be available at the Drop-Off Location at least at the estimated Delivery Drop-Off Time to take delivery of the Goods.
    14. If the Service Provider is unable to deliver the Goods to the Recipient at the Drop-Off Location due to the unavailability of the Recipient; or if access to the Drop-Off Location is likely, in the Service Provider’s reasonable opinion, to cause a risk to the health or safety of the Service Provider, the Service Provider will treat the situation in accordance with the instructions issued to the Service Provider by Wheely’s customer service team.
    15. Where the Service Provider is unable to deliver the Goods due to the unavailability of the Recipient, it shall try at least twice to contact the Recipient prior to exercising its discretion and delivering the Goods to Wheely in accordance with clause 6.11.
    16. If the Goods include alcohol, tobacco or nicotine products (“Age-Restricted Products”), the Service Provider has an obligation to ensure that the Recipient is at least 18 years of age. If requested by the Service Provider, the Recipient must provide a passport or valid driving licence to enable the Service Provider to verify the age of the Recipient. If the Service Provider is unable to verify the age of the Recipient, or the Service Provider has reason to believe that the Recipient is already intoxicated at the time of delivery, the Service Provider shall not deliver the Age-Restricted Products to the Recipient. In these circumstances, the User shall be charged the full amount of the fees and disbursements for the Concierge Service in accordance with clause 7.
    17. Part cancellation for multiple pick-ups
    18. Where the Service Provider agrees to carry out more than one pick up for a particular journey and the Service Provider has the right to cancel for one of the circumstances set out above, unless otherwise agreed with the User, the Service Provider may only cancel that part of the Booking Request in respect of which the right to cancel has arisen (e.g. in respect of the collection or purchase of Goods from an unsafe Pick-Up Location and/or Trader) and shall fulfil the rest of the Booking Request. In such an event the Service Provider shall not charge a Cancellation Fee but shall be entitled to recover the Charges for the journey to and from the unsafe Pick-Up Location and/or Trader in accordance with clause 7.
    19. Availability of User and/or Recipient
    20. The User and the Recipient must be available to receive calls at the phone number submitted through the App from the moment of submitting the Concierge Booking Request until delivery of Goods to the Recipient. If the Recipient is any person other than the User, the User confirms that it has obtained the consent of the Recipient to provide a contact telephone number (s) and/or other contact details in the Concierge Booking Request and for the Service Provider to contact the Recipient in connection with the performance of the Concierge Service.
    21. Consumer Rights
    22. Consumers have legal rights in relation to goods that are faulty or not as described and services that are not performed with reasonable care and skill. Advice about the legal rights of consumers is available from the Citizens' Advice Bureau (www.citizensadvice.org.uk) or Trading Standards Office (www.gov.uk/find-local-trading-standards-office). Nothing in these Terms in any way affects the legal rights of consumers. You have a legal right to receive goods which comply with their description and are of satisfactory quality. You also have legal rights where you receive a service, including that it must be carried out with reasonable care and skill. If you believe that the goods delivered or the services received do not comply with these legal rights, do let us know in accordance with our complaints process, as set out in clauses 6.17 and 6.18 below. We may request further information from you in relation to such complaints. Where you receive the goods or service from a Trader, we will refer you to the Trader who will work with you to make things right. Neither Wheely nor the Service Provider shall have any responsibility to User where we are not providing the goods and/or services to the User.
    23. Complaints
    24. If the User has any complaints regarding the Concierge Service, the User is encouraged to inform Wheely through the App as soon as possible within a reasonable time after the issue arose. Wheely may request a photograph of the Goods or other evidence or explanation of the circumstances related to the complaint.
    25. Although Wheely is neither the manufacturer nor seller of the Goods nor does Wheely supervise, direct or control the manner in which the delivery of Goods is carried out by the Service Provider, Wheely will try to facilitate an amicable solution and may provide a refund or account credit in respect of the affected items if Wheely has reasonable cause to believe that the complaint is justified.
  7. CHARGES AND FEES
    1. Charges — Wheely shall charge User, and User agrees to pay, the Charges.
    2. Disbursements & Transaction Fees — Where the Service Provider incurs additional charges to provide the Concierge Service (“Disbursements”), the Service Provider shall be entitled to recover those Disbursements from the User by uploading appropriate evidence of the Disbursement to the App. On receipt of such evidence Wheely, acting on behalf of the Service Provider, shall be entitled to charge the User. Wheely shall in turn reimburse the Service Provider for such Disbursements. In addition, Wheely may, acting on behalf of the Service Provider, charge the User a fee equal to 3% of the aggregate value of the Goods purchased (“Transaction Fee”).
    3. Cancellation Fees — In the case where User cancels a Booking Request five or more minutes after the Service Provider has accepted it, or the Service Provider cancels a Booking Request due to:
      1. the Passenger not being at the agreed Pick-Up Location at the Pick-Up Time;
      2. any of the reasons contemplated by these Terms; or
      3. User being in breach of these Terms,
    4. Wheely will charge the User a cancellation fee including waiting time, which will amount to at least the minimum Charge for the Service (“Cancellation Fee”).

    5. Where the Service Provider cancels a Booking Request as a result of the User’s breach of these Terms or pursuant to its rights in clause 6, the right to charge a Cancellation Fee shall be in addition to the right to recover any Disbursements incurred and any applicable Transaction Fees (as well as any other costs or losses incurred as a result of the User’s breach of these Terms).
  8. PAYMENT BY USER
    1. Credit card payments only — Services booked by User via the App can only be paid by credit card. You must provide us with valid, up-to-date and complete credit card details when you set up an account on the App. You authorise us to charge such credit or debit card for the Charges, Disbursements, Transaction Fees and Cancellation Fees. By submitting your credit card details, you confirm that the details you provide are accurate and that you have the right to use the payment method selected.
    2. Timing — Charges, Disbursements, Transaction Fees and Cancellation Fees shall be charged automatically by Wheely on behalf of Service Provider once Service Provider has confirmed that the Services have been completed and/or cancelled, using the credit card linked to the account.
    3. Account updates to stored payment methods — User authorises Wheely and its payment service providers to update User’s stored payment method details (for example, when User’s card expires or is replaced) using information provided by the card issuer or payment service provider. User agrees that Wheely may continue to charge any applicable Charges to the updated payment method without further action from you.
    4. Payment failure — Wheely shall notify you if Wheely is unable to collect payment from the credit card linked to your account, including if the credit card has insufficient funds, a payment authorisation is rejected or a chargeback initiated. If you do not settle the outstanding amounts within: (a) in the case of an active journey, 30 minutes, then that journey may be terminated; and (b) in the case of completed journeys, one week of receiving notice from Wheely, your account will be locked until all amounts are paid in full. Wheely may also take such action as it reasonably deems appropriate, including terminating your right to use the App and taking legal action against you.
    5. Multiple credit cards — Subject to compliance with clause 3.2, User may link multiple credit cards to a personal account and choose the preferred card when making a Booking Request. In the event that Wheely is unable to charge the preferred card, it will charge any other card linked to User’s personal account.
    6. Preauthorisation — Wheely may pre-authorise User’s credit card to ensure that there are sufficient funds to cover the Booking Request.
    7. Wheely may provide User with promotional rides or reward User for inviting others who make a first journey. Wheely is free to delete promotional rides or rewards from User’s account at any time.
    8. In order to charge set rates, Wheely uses the services of third party payment processors. Wheely is not responsible or liable for errors by these payment processors.
    9. Except where Wheely and/or Service Provider have failed to fulfil their obligations under these Terms with reasonable care and skill, and to the fullest extent permitted by Applicable Laws, all payments charged by Wheely are non-refundable.
  9. RULES OF CONDUCT FOR PASSENGERS
    1. User guarantees that Passengers will comply with the following rules and guidelines:
      1. No more than four passengers in one vehicle (or eight passengers for V-class).
      2. No smoking.
      3. No littering, eating or spilling of liquids.
      4. No distracting the driver from the road.
      5. No causing hazardous situations.
    2. User is responsible for the cost of repairing any damage to, or necessary cleaning of, Service Provider’s vehicle in excess of normal “wear and tear” damages and standard cleaning. In the event that a Service Provider reports the need for repair or cleaning by submitting to Wheely and to the User a photo or video proof of the damage or soiling, and such request is verified in Wheely’s reasonable discretion, Wheely reserves the right to facilitate payment for such repair or cleaning on behalf of the Service Provider using the payment method designated in User’s account. Such amounts will be transferred by Wheely to the Service Provider and are non-refundable. User will receive an email with a receipt evidencing that the amount charged is equal to the cost of the cleaning or repair.
    3. In particular, but without prejudice to the generality of this clause 9, should a User and/or Passenger smoke in any vehicle whilst using the Transport Service, then Wheely shall be entitled to apply a cleaning fee of £200 which will be automatically charged to the User’s primary payment method.
  10. RESTRICTED AND PROHIBITED ITEMS
    1. The App may not be used for placing Concierge Booking Requests in respect of Goods that have not been approved by Wheely as eligible, including but not limited to (“Excluded Goods”):
      1. any Goods which are radioactive, toxic, flammable, explosive, noxious or otherwise of an inherently dangerous nature;
      2. any Goods that have an intrinsic value of over £350 unless that value has been notified to Wheely in writing at the time of the Booking Request and the Service Provider has agreed to undertake delivery thereof and subject to User having arranged insurance for the carriage thereof;
      3. any Goods, the possession of which is illegal or which it is illegal to export under the laws of England and Wales;
      4. any Goods of a perishable nature that may deteriorate in transit unless agreed otherwise in writing by or on our behalf/on behalf of the Service Provider;
      5. any Goods that are fragile and/or that are likely to be damaged in transit unless the precise nature of the Goods has been notified to Wheely in writing at the time of making the Booking Request and Service Provider has agreed to undertake delivery thereof and subject to User having arranged insurance for carriage thereof; or
      6. any bullion, precious metals, cash (coins or banknotes) precious stones, jewellery, antiques, works of art, livestock, animals, glass or part-glass items, marble, ceramics, security safes, pianos, house removals or perishable foodstuffs unless the precise nature of the Goods has been notified to us, in writing at the time of making the Booking Request and Service Provider has agreed to undertake delivery thereof and subject to User having arranged insurance for carriage thereof.
  11. DATA PROTECTION AND PRIVACY
    1. Wheely guarantees that personal data remains safe and private. Any personal data that User supplies to Wheely when using the App will be used by Wheely in accordance with its Privacy Policy.
    2. For quality assurance and training purposes, Wheely may record telephone calls between User and Service Providers, as well as telephone calls between User and customer support.
    3. Wheely holds PCI DSS certification and does not store credit card data.
  12. INTELLECTUAL PROPERTY RIGHTS AND LICENCE
    1. All trademark rights, copyright, database rights and any other intellectual property rights of any nature vesting in the App together with the underlying software code are exclusively owned by Wheely and/or its group of companies.
    2. Wheely hereby grants User a worldwide, non-exclusive, non-transferable royalty-free revocable licence to use the App for personal use in accordance with these Terms.
  13. AVAILABILITY OF APP, DISCLAIMER OF WARRANTIES
    1. Availability of App. To use any App, you must have a mobile device that is compatible with such App. Wheely does not warrant that any App will be compatible with your mobile device. You may use mobile data in connection with an App and may incur additional charges from your wireless provider in connection with such App. You understand and acknowledge that you are solely responsible for any such charges. We hereby grant you a non-exclusive, limited, non-transferable, and freely revocable license to use a compiled code copy of the App​(s) under your user account on one (1) or more mobile devices owned or controlled solely by you (except to the extent the applicable App store platform permits any shared access and/or use of the App), solely in accordance with these Terms. The foregoing license grant is not a sale of any App or of any copy thereof. You may not: (a) modify, disassemble, decompile, or reverse engineer any App, except to the extent that such restriction is expressly prohibited by Applicable Laws; (b) rent, lease, loan, resell, sublicense, distribute, or otherwise transfer any App to any third party, or use any App to provide time sharing or similar services for any third party; (​c) make any copies of any App; (d) remove, circumvent, disable, damage, or otherwise interfere with security-related features of any App, features that prevent or restrict use or copying of any content accessible through any App, or features that enforce limitations on use of the Apps; or (e) delete the copyright or other proprietary rights notices on any App. You acknowledge that we may, from time to time, issue upgraded versions of the Apps, and may automatically electronically upgrade the version of the App that you are using on your mobile device. You consent to such automatic upgrading on your mobile device, and you understand and acknowledge that the terms and conditions of these Terms will apply to all such upgrades. Any third-party code that may be incorporated into an App is covered by the applicable open source or third-party license, if any, authorizing use of such code. We or our third-party partners or suppliers retain all right, title, and interest in and to the Apps (and any copies thereof). Any attempt by you to transfer or delegate any of the rights, duties, or obligations hereunder, except as expressly provided for in these Terms, is void. We reserve all rights not expressly granted under these Terms.
      1. iOS App. This Section 13.1(a) (iOS App) applies to any App you acquire from the Apple App Store (such App, “iOS App”). You and Wheely understand and acknowledge that these Terms are solely between you and Wheely, not Apple, Inc. (“Apple”), and that Apple has no responsibility for the iOS App or content thereof. Your access to and use of the iOS App must comply with the usage rules set forth in Apple’s then-current Apple Media Services Terms and Conditions and with the applicable Volume Content Terms . You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the iOS App. In the event of any failure of the iOS App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the iOS App to you; to the maximum extent permitted by Applicable Laws, Apple will have no other warranty obligation whatsoever with respect to the iOS App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be governed solely by these Terms and any law applicable to Wheely as provider of the iOS App. You and Wheely acknowledge that Apple is not responsible for addressing any claims of you or any third party relating to the iOS App or your possession and/or use of the iOS App, including, but not limited to: (a) product liability claims; (b) any claim that the iOS App fails to conform to any applicable legal or regulatory requirement; and (​c) claims arising under consumer protection or similar legislation. You acknowledge that, in the event of any third-party claim that the iOS App, or your possession and use of that iOS App, infringes that third party’s intellectual property rights, Wheely, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim, to the extent required by these Terms. You and Wheely acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as relates to your license of the iOS App, and that, upon your acceptance of the terms and conditions of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms as relates to your license of the iOS App against you as a third-party beneficiary thereof.
      2. Android App. The following applies to any App you acquire from the Google Play Store (such App, “Android App”): (a) you acknowledge that these Terms are between you and Wheely only, and not Google LLC or any affiliate thereof (collectively, “Google”); (b) your access to and use of the Android App must comply with Google’s then-current Google Play Terms of Service; (​c) Google is only a provider of the Google Play Store where you obtained the Android App; (d) Wheely, and not Google, is solely responsible for the Android App; (e) Google has no obligation or liability to you with respect to the Android App or these Terms; and (f) you understand and acknowledge that Google is a third-party beneficiary to these Terms as they relate to the Android App.
    2. Disclaimer of Warranties. We do our best to ensure that the App, the features and functionalities of the App, and the services that we provide through the App are of a reasonably satisfactory standard. However, certain features of the App may rely on networks and connections that are beyond our control. While we will do our best to ensure that the App and our services will always be available to you, certain features and functionalities of the App may not be available if we need to undertake any emergency or scheduled maintenance on our systems. This means we are unable to promise that User’s use of the App will be uninterrupted, without delays, error-free or meet your expectations. We will notify you of any planned outages; however, we may not be able to do this if any outages are caused by circumstances outside of our control.
      1. Where the Service Provider is required to collect and/or purchase Goods as part of the Services, the Service Provider will take steps to ensure the Goods are stored sensibly when in transit and, if requested by User in the Booking Request, will undertake a cursory inspection of the Goods for obvious damage or default. However, Wheely and/or Service Provider provide no warranties or guarantees of any kind that the Goods will be complete, of satisfactory quality, fit for purpose and/or meet the requirements of the User and/or Recipient. Further, neither Wheely nor Service Provider shall be liable for any damaged or missing Goods (unless such damage or loss arises as a result of Service Provider’s negligence or wilful default, in which case the User shall deal directly with Service Provider). Except where User can demonstrate the damage to or loss of Goods is caused by Service Provider’s negligence or wilful default, User must seek to recover any loss or damage from the Trader directly
      2. As the Services are supplied by the Service Providers, Wheely shall have no responsibility to User whatsoever for the Services.
      3. The above does not affect User’s rights under any Applicable Laws, including Wheely’s responsibility to User for any personal injury or death caused by our negligence.
  14. SYSTEM REQUIREMENTS
    1. In order to use the App, User must have a compatible mobile telephone or handheld device, internet access, and the minimum specifications applicable from time to time.
    2. Wheely may upgrade the App from time to time to add support for new functions and services.
  15. LIMITATION OF LIABILITY
    1. Wheely is responsible to User for foreseeable loss and damage caused by Wheely. If Wheely fails to comply with these Terms, Wheely shall be responsible for loss or damage which User suffers that is a foreseeable result of Wheely’s breaching these Terms or Wheely’s failing to use reasonable care and skill. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both Wheely and User knew it might happen. Wheely is not responsible to User for any business losses (such as loss of profit or revenue) and commercial or for-profit use of the App is strictly prohibited.
    2. If User has any complaints regarding the actions or inactions of:
      1. any Service Provider, then it shall contact the relevant Service Provider in the first instance; or
      2. any Trader, then the User shall consequently handle this with the Service Provider and/or Trader directly.
    3. Neither Wheely, a Group Company nor any Service Provider is in any event liable for:
      1. the actions or inactions of other Users;
      2. the situation where a User’s mobile device is stolen and any third party subsequently makes use of User’s account;
      3. failure to meet any of Wheely’s obligations under these Terms where such failure is due to events beyond Wheely’s control (for example a network failure); and
      4. in respect of the Concierge Service, any loss or damage arising from any act or omissions of a Trader and/or receipt and/or subsequent use of the Goods.
    4. Nothing in these Terms shall exclude or limit Wheely’s liability for a) death or personal injury caused by Wheely’s negligence; b) fraud; or c) any other liability which cannot be excluded or limited under Applicable Laws.
  16. MISCELLANEOUS
    1. For any complaints or questions regarding lost & found items, please email us via support@wheely.com, or report them to us via the chat function in the App.
    2. If any provision of these Terms shall be deemed unlawful, void or otherwise unenforceable, then such provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
    3. Wheely may change the Terms at any time by posting a revised version on its website. Any change shall come into effect and be deemed accepted by the User if the User continues using the App after the revised version is posted.
    4. Wheely shall be free to assign, novate, transfer or otherwise deal with the whole or any part of its rights or obligations under this Agreement:
      1. to any Group Company without the prior written consent of the User; and
      2. to any party in connection with a merger, acquisition or sale of assets, or by operation of law or otherwise,
    5. and any such change shall be implemented in accordance with this clause 16. If Wheely assigns, novates or transfers any of its obligations under this Agreement, Wheely shall ensure that the assignee or transferee shall perform those obligations in accordance with this Agreement as if they were Wheely.

  17. DISPUTE RESOLUTION
    1. If the User has a complaint relating to these Terms, the App or any Services, Wheely will try to resolve the complaint using its internal complaints-handling procedure. Please contact Wheely by email at support@wheely.com, by telephone on +44 20 3936 9971 or by chat feature within the App.
    2. For Users using the App in the United Kingdom, these Terms and all non-contractual obligations arising in any way whatsoever out of or in connection with the Terms are governed by the laws of England and Wales. Disputes or claims arising out of or related to these Terms are subject to the jurisdiction of the courts of England and Wales. This does not, however, affect any rights you may have under applicable law in the country you are resident to have a dispute arising under or in connection with these Terms heard in the courts of that country. If you live in Scotland or Northern Ireland, you have a right to have the dispute heard in the Scottish or Northern Irish courts.
    3. For Users using the App outside of the United Kingdom or United States, the laws of the country where you are ordinarily resident govern these Terms and any disputes or claims arising out of or related to these Terms are subject to the jurisdiction of the courts of that country.
    4. For Users in the United States, please refer to the Additional Country-Specific Terms for information about the governing law applicable to these Terms and the process for resolving disputes.
  18. ADDITIONAL COUNTRY-SPECIFIC TERMS

    The following Wheely Country-Specific Terms (these “Country-Specific Terms”) supplement the Wheely Passenger Terms and Conditions (the “Underlying Terms”) and set forth country-specific provisions that replace or supplement the equivalent provisions noted below when a User is located in the countries identified in these Country-Specific Terms. To the extent there are any inconsistencies between the terms of these Country-Specific Terms and the terms of the Underlying Terms, these Country-Specific Terms will prevail. Any defined terms not defined in these Country-Specific Terms take their meaning from the Underlying Terms.

    United States. The following terms apply to a User’s use of the App in the United States:

    1. APPLICABILITY OF TERMS AND BASIS OF CONTRACT. The following provision is inserted into Section 1 of the Underlying Terms:

      PLEASE READ THESE TERMS CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION.

      THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION PROVISION IN SECTION 17 (THE “ARBITRATION AGREEMENT”) AND A CLASS ACTION/JURY TRIAL WAIVER PROVISION IN SECTION 17 (THE “CLASS ACTION/JURY TRIAL WAIVER”) THAT REQUIRE, UNLESS YOU OPT OUT PURSUANT TO THE INSTRUCTIONS IN THE ARBITRATION AGREEMENT, THE EXCLUSIVE USE OF FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES BETWEEN YOU AND US, INCLUDING ANY CLAIMS THAT AROSE OR WERE ASSERTED BEFORE YOU AGREED TO THESE TERMS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS, YOU EXPRESSLY WAIVE YOUR RIGHT TO SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL ON YOUR CLAIMS, AS WELL AS YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING.

    2. LIMITATION OF LIABILITY. The following provision replaces Section 15 of the Underlying Terms in its entirety:

      INDEMNITY; LIMITATION OF LIABILITY; RELEASE

      1. Indemnity.

        You will defend, indemnify, and hold us and our subsidiaries and affiliates, and our and their respective agents, suppliers, licensors, employees, contractors, officers, and directors (collectively, including Wheely, the “Wheely Indemnitees”) harmless from and against any and all claims, damages (whether direct, indirect, incidental, consequential, or otherwise), obligations, losses, liabilities, costs, debts, and expenses (including, but not limited to, legal fees) arising from: (a) your access to and/or use of the App; (b) your violation of any term of these Terms; (​c) your violation of any third-party right, including, without limitation, any privacy right or intellectual property right; (d) your violation of any Applicable Laws; (e) any content that is submitted via your user account; (f) your willful misconduct; or (g) any third party’s access to and/or use of the App with your authentication credential​(s).

      2. Limitation of Liability.

        TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, IN NO EVENT WILL ANY WHEELY INDEMNITEE BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE APP OR ANY PORTION THEREOF. UNDER NO CIRCUMSTANCES WILL WE BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS TO OR USE OF THE APP OR YOUR USER ACCOUNT OR THE INFORMATION CONTAINED THEREIN. IN NO EVENT WILL ANY WHEELY INDEMNITEE BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO US HEREUNDER OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS GREATER. THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

        TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (A) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (B) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF THE APP; (​C) ANY UNAUTHORIZED ACCESS TO OR USE OF THE SERVERS RUNNING THE APP AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (D) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE APP; (E) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE APP BY ANY THIRD PARTY; (F) ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE APP; AND/OR (G) YOUR DATA, ANY USER CONTENT, OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

        THE DISCLAIMERS, EXCLUSIONS, AND LIMITATIONS OF LIABILITY UNDER THESE TERMS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAWS.

      3. RELEASE.

        YOU HEREBY RELEASE US FROM ALL CLAIMS, DAMAGES (WHETHER DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR OTHERWISE), OBLIGATIONS, LOSSES, LIABILITIES, COSTS, DEBTS, AND EXPENSES, IN EACH CASE OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, ARISING OUT OF A DISPUTE BETWEEN YOU AND A THIRD PARTY (INCLUDING ANY OTHER USER) IN CONNECTION WITH THE APP. IN ADDITION, YOU WAIVE ANY APPLICABLE LAWS THAT SAY, IN SUBSTANCE: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE RELEASED PARTY.

    3. MISCELLANEOUS. The following provisions are inserted into Section 16 of the Underlying Terms:

      U.S. Government Restricted Rights. To the extent the App is being used by or on behalf of the U.S. Government, the App will be deemed commercial computer software or commercial computer software documentation (as applicable). Accordingly, if you are an agency of the U.S. Government or any contractor therefor, you receive only those rights with respect to the App as are granted to all other Users hereunder, in accordance with 48​ C. F. R. §​227.7202 and 48​ C.F.R. §​12.212, as applicable.

      Export Controls. You understand and acknowledge that the App may be subject to export control laws and regulations. You will comply with all applicable import and export and re-export control and trade and economic sanctions laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the U.S. Treasury Department’s Office of Foreign Assets Control (“OFAC”), and the International Traffic in Arms Regulations maintained by the U.S. State Department. You represent and warrant that you are not, and that no person to whom you make the App available or that is acting on your behalf, or, if you are an Organization, that no person or entity owning 50% or more of your equity securities or other equivalent voting interests, is (a) listed on the List of Specially Designated Nationals and Blocked Persons or on any other list of sanctioned, prohibited, or restricted parties administered by OFAC or by any other governmental entity, or (b) located in, a national or resident of, or a segment of the government of, any country or territory for which the United States maintains trade or economic sanctions or embargoes or that has been designated by the U.S. Government as a “terrorist supporting” region.

      California Consumer Complaints. The provider of the App is set forth herein. If you are a California resident, in accordance with Cal. Civ. Code §​1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting it in writing at 1625 North Market Blvd., Suite N 112 Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

    4. DISPUTE RESOLUTION. The following provision replaces Section 17 of the Underlying Terms in its entirety:

      GOVERNING LAW, ARBITRATION, AND CLASS ACTION/JURY TRIAL WAIVER

      1. GOVERNING LAW. THESE TERMS WILL BE GOVERNED BY THE LAWS OF THE STATE OF DELAWARE, WITHOUT RESPECT TO ITS CONFLICT OF LAWS PRINCIPLES. NOTWITHSTANDING THE PRECEDING SENTENCES WITH RESPECT TO THE SUBSTANTIVE LAW GOVERNING THESE TERMS, THE FEDERAL ARBITRATION ACT (9 U.S.C. §§ 1-16) (AS IT MAY BE AMENDED, “FAA”) GOVERNS THE INTERPRETATION AND ENFORCEMENT OF THE ARBITRATION AGREEMENT BELOW AND PREEMPTS ALL STATE LAWS (AND LAWS OF OTHER JURISDICTIONS) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. IF THE FAA IS FOUND TO NOT APPLY TO ANY ISSUE THAT ARISES FROM OR RELATES TO THE ARBITRATION AGREEMENT, THEN THAT ISSUE WILL BE RESOLVED UNDER AND GOVERNED BY THE LAW OF THE U.S. STATE WHERE YOU LIVE (IF APPLICABLE) OR THE JURISDICTION MUTUALLY AGREED UPON IN WRITING BY YOU AND US. THE APPLICATION OF THE UNITED NATIONS CONVENTION ON CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS IS EXPRESSLY EXCLUDED. YOU AGREE TO SUBMIT TO THE EXCLUSIVE PERSONAL JURISDICTION OF THE FEDERAL AND STATE COURTS LOCATED IN CALIFORNIA FOR ANY ACTIONS FOR WHICH WE RETAIN THE RIGHT TO SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN A COURT OF COMPETENT JURISDICTION TO PREVENT THE ACTUAL OR THREATENED INFRINGEMENT, MISAPPROPRIATION, OR VIOLATION OF OUR DATA SECURITY, CONFIDENTIAL INFORMATION, OR INTELLECTUAL PROPERTY RIGHTS, AS SET FORTH IN THE ARBITRATION AGREEMENT BELOW, INCLUDING ANY PROVISIONAL RELIEF REQUIRED TO PREVENT IRREPARABLE HARM. YOU AGREE THAT CALIFORNIA IS THE PROPER AND EXCLUSIVE FORUM FOR ANY APPEALS OF AN ARBITRATION AWARD, OR FOR TRIAL COURT PROCEEDINGS IN THE EVENT THAT THE ARBITRATION AGREEMENT BELOW IS FOUND TO BE UNENFORCEABLE. THESE TERMS WERE DRAFTED IN THE ENGLISH LANGUAGE AND THIS ENGLISH LANGUAGE VERSION OF THE TERMS IS THE ORIGINAL, GOVERNING INSTRUMENT OF THE UNDERSTANDING BETWEEN YOU AND US. IN THE EVENT OF ANY CONFLICT BETWEEN THE ENGLISH VERSION OF THESE TERMS AND ANY TRANSLATION, THE ENGLISH VERSION WILL PREVAIL.
      2. ARBITRATION AGREEMENT.
        1. GENERAL. READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO ARBITRATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US. THIS ARBITRATION AGREEMENT APPLIES TO AND GOVERNS ANY DISPUTE, CONTROVERSY, OR CLAIM BETWEEN YOU AND US THAT ARISES OUT OF OR RELATES TO, DIRECTLY OR INDIRECTLY: (I) THESE TERMS; (II) ACCESS TO OR USE OF THE APP, INCLUDING RECEIPT OF ANY ADVERTISING OR MARKETING COMMUNICATIONS; (III) ANY TRANSACTIONS THROUGH, BY, OR USING THE APP; OR (IV) ANY OTHER ASPECT OF YOUR RELATIONSHIP OR TRANSACTIONS WITH US AS A USER OR CONSUMER (EACH, A “CLAIM, ​” AND, COLLECTIVELY, “CLAIMS”). THIS ARBITRATION AGREEMENT WILL APPLY, WITHOUT LIMITATION, TO ALL CLAIMS THAT AROSE OR WERE ASSERTED BEFORE OR AFTER YOUR CONSENT TO THESE TERMS.
        2. OPTING OUT OF ARBITRATION AGREEMENT. OPTING OUT OF THIS ARBITRATION AGREEMENT DOES NOT AFFECT THE BINDING NATURE OF ANY OTHER PART OF THESE TERMS, INCLUDING THE PROVISIONS REGARDING CONTROLLING LAW OR THE COURTS IN WHICH ANY DISPUTES MUST BE BROUGHT.
        3. DISPUTE-RESOLUTION PROCESS. FOR ANY CLAIM, YOU WILL FIRST CONTACT US AT LEGAL-NY@WHEELY.COM AND ATTEMPT TO RESOLVE THE CLAIM WITH US INFORMALLY. IN THE UNLIKELY EVENT THAT WE HAVE NOT BEEN ABLE TO RESOLVE A CLAIM AFTER SIXTY (60) DAYS, WE EACH AGREE TO RESOLVE SUCH CLAIM EXCLUSIVELY THROUGH BINDING ARBITRATION BY JAMS BEFORE A SINGLE ARBITRATOR (THE “ARBITRATOR”), UNDER THE OPTIONAL EXPEDITED ARBITRATION PROCEDURES THEN IN EFFECT FOR JAMS (THE “RULES”), EXCEPT AS PROVIDED HEREIN. JAMS MAY BE CONTACTED AT WWW.JAMSADR.COM, WHERE THE RULES ARE AVAILABLE. IN THE EVENT OF ANY CONFLICT BETWEEN THE RULES AND THIS ARBITRATION AGREEMENT, THIS ARBITRATION AGREEMENT WILL CONTROL. THE ARBITRATION WILL BE CONDUCTED IN THE U.S. COUNTY WHERE YOU LIVE (IF APPLICABLE) OR QUEENS COUNTY, NEW YORK UNLESS YOU AND WHEELY AGREE OTHERWISE. IF YOU ARE USING THE APP FOR COMMERCIAL PURPOSES, EACH PARTY WILL BE RESPONSIBLE FOR PAYING ANY JAMS FILING AND ADMINISTRATIVE FEES AND ARBITRATOR FEES IN ACCORDANCE WITH THE RULES, AND THE AWARD RENDERED BY THE ARBITRATOR WILL INCLUDE COSTS OF ARBITRATION, REASONABLE ATTORNEYS’ FEES, AND REASONABLE COSTS FOR EXPERT AND OTHER WITNESSES. IF YOU ARE AN INDIVIDUAL USING THE APP FOR NON-COMMERCIAL PURPOSES: (I) JAMS MAY REQUIRE YOU TO PAY A FEE FOR THE INITIATION OF YOUR CASE, UNLESS YOU APPLY FOR AND SUCCESSFULLY OBTAIN A FEE WAIVER FROM JAMS; (II) THE AWARD RENDERED BY THE ARBITRATOR MAY INCLUDE YOUR COSTS OF ARBITRATION, YOUR REASONABLE ATTORNEYS’ FEES, AND YOUR REASONABLE COSTS FOR EXPERT AND OTHER WITNESSES; AND (III) YOU MAY SUE IN A SMALL CLAIMS COURT OF COMPETENT JURISDICTION WITHOUT FIRST ENGAGING IN ARBITRATION, BUT THIS WOULD NOT ABSOLVE YOU OF YOUR COMMITMENT TO ENGAGE IN THE INFORMAL DISPUTE RESOLUTION PROCESS. ANY JUDGMENT ON THE AWARD RENDERED BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. YOU AND WE AGREE THAT THE ARBITRATOR, AND NOT ANY FEDERAL, STATE, OR LOCAL COURT OR AGENCY, WILL HAVE EXCLUSIVE AUTHORITY TO RESOLVE ANY DISPUTES RELATING TO THE SCOPE, INTERPRETATION, APPLICABILITY, ENFORCEABILITY, OR FORMATION OF THIS ARBITRATION AGREEMENT, INCLUDING ANY CLAIM THAT ALL OR ANY PART OF THIS ARBITRATION AGREEMENT IS VOID OR VOIDABLE. THE ARBITRATOR WILL ALSO BE RESPONSIBLE FOR DETERMINING ALL THRESHOLD ARBITRABILITY ISSUES, INCLUDING ISSUES RELATING TO WHETHER THESE TERMS ARE, OR WHETHER ANY PROVISION OF THESE TERMS IS, UNCONSCIONABLE OR ILLUSORY, AND ANY DEFENSE TO ARBITRATION, INCLUDING WAIVER, DELAY, LACHES, UNCONSCIONABILITY, AND/OR ESTOPPEL.
        4. EQUITABLE RELIEF. NOTHING IN THIS ARBITRATION AGREEMENT WILL BE DEEMED AS: PREVENTING US FROM SEEKING INJUNCTIVE OR OTHER EQUITABLE RELIEF FROM THE COURTS AS NECESSARY TO PREVENT THE ACTUAL OR THREATENED INFRINGEMENT, MISAPPROPRIATION, OR VIOLATION OF OUR DATA SECURITY, CONFIDENTIAL INFORMATION, OR INTELLECTUAL PROPERTY RIGHTS; OR PREVENTING YOU FROM ASSERTING CLAIMS IN A SMALL CLAIMS COURT, PROVIDED THAT YOUR CLAIMS QUALIFY AND SO LONG AS THE MATTER REMAINS IN SUCH COURT AND ADVANCES ON ONLY AN INDIVIDUAL (NON-CLASS, NON-COLLECTIVE, AND NON-REPRESENTATIVE) BASIS.
        5. SEVERABILITY. IF THIS ARBITRATION AGREEMENT IS FOUND TO BE VOID, UNENFORCEABLE, OR UNLAWFUL, IN WHOLE OR IN PART, THE VOID, UNENFORCEABLE, OR UNLAWFUL PROVISION, IN WHOLE OR IN PART, WILL BE SEVERED. SEVERANCE OF THE VOID, UNENFORCEABLE, OR UNLAWFUL PROVISION, IN WHOLE OR IN PART, WILL HAVE NO IMPACT ON THE REMAINING PROVISIONS OF THIS ARBITRATION AGREEMENT, WHICH WILL REMAIN IN FORCE, OR ON THE PARTIES’ ABILITY TO COMPEL ARBITRATION OF ANY REMAINING CLAIMS ON AN INDIVIDUAL BASIS PURSUANT TO THIS ARBITRATION AGREEMENT. NOTWITHSTANDING THE FOREGOING, IF THE CLASS ACTION/JURY TRIAL WAIVER BELOW IS FOUND TO BE VOID, UNENFORCEABLE, OR UNLAWFUL, IN WHOLE OR IN PART, BECAUSE IT WOULD PREVENT YOU FROM SEEKING PUBLIC INJUNCTIVE RELIEF, THEN ANY DISPUTE REGARDING THE ENTITLEMENT TO SUCH RELIEF (AND ONLY THAT RELIEF) MUST BE SEVERED FROM ARBITRATION AND MAY BE LITIGATED IN A CIVIL COURT OF COMPETENT JURISDICTION. ALL OTHER CLAIMS FOR RELIEF SUBJECT TO ARBITRATION UNDER THIS ARBITRATION AGREEMENT WILL BE ARBITRATED UNDER ITS TERMS, AND THE PARTIES AGREE THAT LITIGATION OF ANY DISPUTE REGARDING THE ENTITLEMENT TO PUBLIC INJUNCTIVE RELIEF WILL BE STAYED PENDING THE OUTCOME OF ANY INDIVIDUAL CLAIMS IN ARBITRATION.
      3. CLASS ACTION/JURY TRIAL WAIVER. BY ENTERING INTO THESE TERMS, YOU AND WHEELY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO BRING, JOIN, OR PARTICIPATE IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND AS A PLAINTIFF OR CLASS MEMBER. THE FOREGOING APPLIES TO ALL USERS (BOTH NATURAL PERSONS AND ENTITIES), REGARDLESS OF WHETHER YOU HAVE OBTAINED OR USED THE APP FOR PERSONAL, COMMERCIAL, OR OTHER PURPOSES. THIS CLASS ACTION/JURY TRIAL WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S OR ENTITY’S CLAIMS. YOU AND WHEELY AGREE THAT THE ARBITRATOR MAY AWARD RELIEF ONLY TO AN INDIVIDUAL CLAIMANT AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF ON YOUR INDIVIDUAL CLAIM​(S). ANY RELIEF AWARDED MAY NOT AFFECT OTHER USERS.
    5. DMCA NOTICE. The following provision is inserted as Section 18 of the Underlying Terms:

      We respect artists and content owner rights, and it is our policy to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 (as it may be amended, “DMCA”).

      If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the App, please notify our copyright agent as set forth in the DMCA. For your complaint to be valid under the DMCA, you must provide all of the following information in writing:

      1. a signature of a person authorized to act on behalf of the copyright owner;
      2. identification of the copyrighted work that you claim has been infringed;
      3. identification of the material that is claimed to be infringing and its location on the App;
      4. information reasonably sufficient to permit us to contact you, such as your address, telephone number, and email address;
      5. a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law; and
      6. a statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner.

      UNDER UNITED STATES FEDERAL LAW, IF YOU KNOWINGLY MISREPRESENT THAT ONLINE MATERIAL IS INFRINGING, YOU MAY BE SUBJECT TO CRIMINAL PROSECUTION FOR PERJURY AND CIVIL PENALTIES, INCLUDING MONETARY DAMAGES, COURT COSTS, AND ATTORNEYS’ FEES.

      Please note that the procedure outlined herein is exclusively for notifying Wheely and its affiliates that your copyrighted material has been infringed. The preceding requirements are intended to comply with Wheely’s rights and obligations under the DMCA, including 17 U.S.C. §​512(​c), but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under the DMCA and other Applicable Laws.

      In accordance with the DMCA and other Applicable Laws, we have adopted a policy of terminating, in appropriate circumstances, Users who are deemed to be repeat infringers. We may also, at our sole discretion, limit access to the App and/or terminate the user accounts of any Users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.
